Free Non-Circumvention Clause
Below you’ll find a link to a word version of a non-circumvention (or ‘non-solicitation’) clause that sometimes forms part of a confidentiality (or ‘non-disclosure’) agreement.
This clause blocks the recipient of the confidential information from going directly to the discloser’s suppliers or clients with the intent to bypass (or circumvent) the discloser once the recipient has learnt the names of the discloser’s business partners. This non-circumvention provision allows you to not only sue for breach of the agreement if necessary, but also to allege that any benefit obtained by the recipient through use of your proprietary and confidential information should be turned over to you for the benefit of your business or company.
